Terms and Conditions

1. General Provisions

This document (hereinafter "the Agreement") constitutes an agreement between GoSMS LLC (hereinafter "the Company") and the user (hereinafter "the User") regarding the use of the GoSMS platform and services.

By starting to use the service and/or completing registration, the User confirms that they have read the terms of this Agreement and fully agree to them.

The Company reserves the right to modify the terms of the Agreement at any time. Changes take effect from the moment of publication on the website.

2. Definitions

• Platform — GoSMS website (gosms.ge) and admin panel (app.gosms.ge), which allows the User to send SMS messages.
• User — An individual or legal entity registered on the Platform and using the service.
• Service — The SMS message sending, receiving, and management service offered by the Company to the User.
• SMS Package — A pre-purchased quantity of SMS messages that the User can use within a specified period.
• API — A programming interface that allows the User to integrate with the GoSMS service.
• Sender ID — An alphanumeric identifier used as the sender name for SMS messages.

3. Representations and Warranties

The User represents and warrants that:

• They are an individual over the age of 18 or a duly registered legal entity;
• The information provided during registration is accurate, complete, and up-to-date;
• They will use the service only for lawful purposes;
• They will not send spam, fraudulent, offensive, or illegal content;
• They have all necessary consents from SMS message recipients;
• They will comply with Georgian legislation, including the Law on Personal Data Protection.

4. User Registration

Registration on the Platform is required to use the service. During registration, the User must provide:

• First and last name (for individuals);
• Company name and identification code (for legal entities);
• Email address;
• Phone number;
• Password.

The User is responsible for the security of their account and is obligated not to share access credentials with third parties.

5. Identification and Verification

The Company reserves the right to request additional identification and verification of the User, including:

• A copy of ID card or passport;
• Company registration documentation;
• Confirmation of the nature of business activities.

The Company has the right to restrict or suspend service delivery until verification is complete.

6. Authorization and Sender ID

To send SMS messages, the User must register a Sender ID. When registering a Sender ID:

• The name must correspond to the User's company or brand name;
• It must not be misleading or infringe on the rights of third parties;
• It must contain a maximum of 11 characters;
• The Company reserves the right to refuse Sender ID registration.

7. Limitation of Liability

The Company is not liable for:

• The content of messages sent by the User;
• Temporary unavailability of the service due to technical or third-party reasons;
• Mobile operator network malfunctions;
• Delayed or undelivered messages caused by factors beyond the Company's control;
• Unauthorized access to the User's account caused by the User's negligence.

The Company's total liability for any claim is limited to the amount paid by the User.

8. SMS Packages and Tariffs

The Company offers SMS packages to the User at various tariffs. Package terms:

• By purchasing an SMS package, the User receives the right to send a predetermined number of messages;
• The package validity period is indicated at the time of purchase;
• Expired and unused SMS messages are not refunded or transferred;
• The Company reserves the right to change tariffs, of which the User will be notified in advance;
• Tariffs are quoted excluding VAT unless otherwise indicated.

9. Payment Terms

The User can pay for the service using the following methods:

• Bank transfer (based on invoice);
• Online payment by bank card (through the platform);
• Online payment includes a discount as indicated on the platform.

Payment is made in advance. Service activation occurs after payment confirmation.

10. Termination of Agreement

The Company has the right to terminate the Agreement and restrict the User's access to the service in the following cases:

• The User violates the terms of the Agreement;
• The User sends spam or messages with illegal content;
• The User provides false information during registration;
• The User's actions damage the Company's reputation or service;
• At the request of law enforcement agencies.

The User has the right to stop using the service at any time. In such case, the cost of unused SMS messages will not be refunded.

11. Governing Law

This Agreement is governed by Georgian law. Any dispute between the parties shall be resolved through negotiation, and in the event of failure to reach an agreement, in the courts of Georgia.

12. Changes to Terms

The Company reserves the right to modify these Terms and Conditions. In case of changes, the updated version will be posted on this page with the corresponding date. In case of significant changes, a notification will be sent to the User's email.

Continued use of the service after publication of changes constitutes the User's agreement to the new terms.

13. Personal Data

The collection, processing, and storage of the User's personal data is governed by our Privacy Policy, which is an integral part of this Agreement.

By registering on the service, the User agrees to the processing of personal data in accordance with the Privacy Policy.

14. Transitional Provisions

This Agreement enters into force from the moment of the User's registration and remains in effect until the User's account is deactivated or the Agreement is terminated.

If any provision of the Agreement is found to be invalid, this does not affect the validity of the remaining provisions.
